This Memorandum of Understanding is made and entered into effect as of this _________ day of _________,_________(M,Y), by and between AAA Company Limited, a _________ corporation having its principal place of business at _________ (hereinafter referred to as AAA) and BBB, Inc., a _________ corporation having its principal place of business at _________ (hereinafter referred to as BBB), in order to set forth the basic understanding between the parties regarding patent application of _________.

Whereas, AAA and BBB have cooperated in devising certain _________, which is deemed to be eligible for patent application.

Whereas, AAA and BBB is eager to apply for patent regarding this _________ in _________ and with the consent of both parties, in any other third country.
